1. About this website
This website provides information about our trading, sourcing, distribution, e-commerce and advisory services. Content is provided for general information and does not constitute a binding offer.
2. Quotations and orders
Prices, specifications and availability shown or communicated are indicative unless confirmed in a written quotation. Quotations are valid for the period stated in them. An order becomes binding only when confirmed by us in writing and, where applicable, on receipt of agreed advance payment. Product specifications, minimum order quantities and lead times are confirmed at the time of order.
3. Payment and delivery
Payment terms, trade terms (such as FOB, CIF, CFR or Ex-Works) and delivery timelines are agreed individually per order and recorded in the order confirmation or proforma invoice. Delivery dates are estimates given in good faith and are subject to production, freight and customs conditions outside our control.
4. Quality and claims
Goods are supplied to the specification agreed in writing. Any claim regarding quantity, quality or damage must be raised in writing within the period stated in the order confirmation, with supporting documentation and photographs. Natural variation in textile shade, weave and dimension within accepted commercial tolerance does not constitute a defect.
5. Advisory services
Our consultancy, restructuring and branding services are commercial and operational advisory. We are not lawyers, chartered accountants, tax advisors or licensed insolvency professionals, and nothing we provide should be treated as legal, tax, audit or financial advice. Clients should obtain independent professional advice before acting on any recommendation. Commercial outcomes depend on factors outside our control and are not guaranteed.
6. Intellectual property
All content on this website, including text, images, layout and the Frillies India name and device mark, is our property or used with permission, and may not be reproduced without written consent. Third-party names and marks appearing on this site remain the property of their respective owners.
7. Limitation of liability
To the extent permitted by law, our liability arising from any order is limited to the invoice value of the goods or services concerned. We are not liable for indirect or consequential loss, including loss of profit, business or opportunity.
8. Force majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural events, strikes, port congestion, transport disruption, regulatory action or restrictions on international trade.
9. Governing law and jurisdiction
These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Thrissur, Kerala, unless otherwise agreed in writing.
